Contract of the Week
One clause. One problem. One practical explanation.
Except in respect of the excluded liabilities set out in clause 9.5, the total aggregate liability of each party arising out of or in connection with this Agreement, whether in contract, tort (including negligence) or otherwise, shall not exceed the total fees paid by the Customer in the twelve (12) months immediately preceding the event giving rise to the claim.
The clause
A mutual liability cap set at the fees paid in the twelve months before the claim, with carve-outs held back in a separate clause.
What it means
Whatever goes wrong, neither side can normally recover more than a year of fees, and the carve-out clause is what actually decides how protective the cap is.
Why it matters
On a low-priced plan the cap can be smaller than the cost of a single incident. Enterprise buyers know this and push for a multiplier, a floor, or an uncapped data breach.
What to look at
Is it mutual? Does it run from the claim or from signature? Which liabilities sit outside it? Does it exclude indirect loss twice over?
